In such cases, the Articles may require the General Meeting's consent.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"kedy-spolocnik-nemoze-previest-svoj-obchodny-podiel\"><strong>When is a shareholder prohibited from transferring his business share?<\/strong><\/h2>\n\n\n\n<p>The Commercial Code outlines situations where a partner cannot transfer his business share. This applies to situations where proceedings are initiated for the dissolution of a company, where the company has been dissolved by a court or based on a court decision, or where the company is subject to the effects of a bankruptcy declaration or approval of restructuring.<\/p>\n\n\n\n<p>A shareholder cannot transfer his ownership interest to another shareholder or any other person if he is listed as a debtor in <a href=\"https:\/\/obcan.justice.sk\/pilot\/poverenia\/\" data-type=\"link\" data-id=\"https:\/\/obcan.justice.sk\/pilot\/poverenia\/\">the register of issued authorizations for enforcement proceedings<\/a> (i.e., if enforcement proceedings are being conducted against him). A person subject to enforcement proceedings cannot acquire an ownership interest either.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"due-diligence\"><strong>Due diligence<\/strong><\/h2>\n\n\n\n<p>Pokia\u013e m\u00e1te z\u00e1ujem o&nbsp;nadobudnutie obchodn\u00e9ho podielu, odpor\u00fa\u010dame pred uzavret\u00edm zmluvy o&nbsp;prevode obchodn\u00e9ho podielu uskuto\u010dni\u0165 proces tzv. due diligence. Ide o&nbsp;proces, v&nbsp;r\u00e1mci ktor\u00e9ho sa uskuto\u010d\u0148uje podrobn\u00fd intern\u00fd audit spolo\u010dnosti. V\u00fdstupom m\u00f4\u017ee by\u0165 identifikovanie riz\u00edk, ako napr. nev\u00fdhodn\u00e9 zmluvy, prebiehaj\u00face alebo hroziace s\u00fadne spory, rizik\u00e1 ulo\u017eenia pok\u00fat a&nbsp;podobne. Realiz\u00e1ciu odpor\u00fa\u010dame uskuto\u010dni\u0165 v&nbsp;spolupr\u00e1ci s&nbsp;advok\u00e1tom. S&nbsp;cel\u00fdm procesom V\u00e1m radi pom\u00f4\u017eeme.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"zmluva-o-prevode-obchodneho-podielu\"><strong>Zmluva o&nbsp;prevode obchodn\u00e9ho podielu<\/strong><\/h2>\n\n\n\n<p>The Commercial Code specifies formal requirements for a business share transfer agreement. The agreement must be in writing, with signatures officially certified.<\/p>\n\n\n\n<p>Regarding the substantive requirements, according to the Commercial Code, the acquirer who is not already a shareholder must declare in the contract for the transfer of the ownership interest that he agrees to adhere to the partnership agreement or, where applicable, the bylaws (if bylaws have been adopted). Additional terms may not be prescribed by Commercial Code but are advisable to include.<\/p>\n\n\n\n<p>We recommend including especially the following:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>vymedzenie zmluvn\u00fdch str\u00e1n (prevodca a&nbsp;nadob\u00fadate\u013e),<\/li>\n\n\n\n<li>specification of the company whose business share is being transferred,<\/li>\n\n\n\n<li>\u0161pecifik\u00e1cia prev\u00e1dzan\u00e9ho obchodn\u00e9ho podielu (ve\u013ekos\u0165, pomern\u00e1 \u010das\u0165 k&nbsp;celku vyjadren\u00e1 zlomkom alebo percentami, \u010das\u0165 z\u00e1kladn\u00e9ho imania zodpovedaj\u00faca prev\u00e1dzan\u00e9mu obchodn\u00e9mu podielu a&nbsp;inform\u00e1cia o&nbsp;jej splaten\u00ed),<\/li>\n\n\n\n<li>dojednanie, \u010di ide o&nbsp;bezodplatn\u00fd alebo odplatn\u00fd prevod a&nbsp;ak ide o&nbsp;odplatn\u00fd prevod inform\u00e1cie o&nbsp;v\u00fd\u0161ke odplaty alebo sp\u00f4sobe jej ur\u010denia, platobn\u00fdch podmienkach a&nbsp;pod.,<\/li>\n\n\n\n<li>vymedzenie akt\u00edv a&nbsp;pas\u00edv spolo\u010dnosti, ktorej obchodn\u00fd podiel sa prev\u00e1dza (\u010di u\u017e priamo v&nbsp;zmluve alebo v&nbsp;pr\u00edlohe odpor\u00fa\u010dame zakotvi\u0165 podrobn\u00e9 inform\u00e1cie o&nbsp;akt\u00edvach a&nbsp;pas\u00edvach spolo\u010dnosti),<\/li>\n\n\n\n<li>vyhl\u00e1senia a&nbsp;z\u00e1ruky (napr. vyhl\u00e1senia prevodcu, o&nbsp;tom, \u017ee obchodn\u00fd podiel nie je za\u0165a\u017een\u00fd pr\u00e1vami tret\u00edch os\u00f4b, \u017ee vo\u010di spolo\u010dnosti, ktorej obchodn\u00fd podiel sa prev\u00e1dza nie s\u00fa veden\u00fa s\u00fadne alebo spr\u00e1vne konania, \u017ee \u00fa\u010dtovn\u00edctvo spolo\u010dnosti bolo veden\u00e9 v&nbsp;s\u00falade so z\u00e1konom a&nbsp;i. pod\u013ea okolnost\u00ed konkr\u00e9tneho pr\u00edpadu),<\/li>\n\n\n\n<li>ml\u010danlivos\u0165 (odpor\u00fa\u010dame zv\u00e1\u017ei\u0165 aj dojednanie povinnosti ml\u010danlivosti napr. vo vz\u0165ahu k&nbsp;citliv\u00fdm intern\u00fdm inform\u00e1ci\u00e1m, odplate za obchodn\u00fd podiel a&nbsp;podobne)<\/li>\n\n\n\n<li>z\u00e1kaz konkurencie (odpor\u00fa\u010dame zv\u00e1\u017ei\u0165 aj dojednanie z\u00e1kazu konkurencie vo vz\u0165ahu k&nbsp;prevodcovi ako&nbsp;b\u00fdval\u00e9mu spolo\u010dn\u00edkovi)<\/li>\n\n\n\n<li>\u010fal\u0161ie dojednania pod\u013ea konkr\u00e9tnych okolnost\u00ed (v\u017edy odpor\u00fa\u010dame zv\u00e1\u017ei\u0165 okolnosti konkr\u00e9tneho pr\u00edpadu a&nbsp;nespolieha\u0165 sa na generick\u00e9 \/ vzorov\u00e9 dokumenty).<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"ucinky-prevodu-obchodneho-podielu\"><strong>Effects of the Business Share Transfer<\/strong><\/h2>\n\n\n\n<p>Under the Commercial Code, the effects of the transfer take place upon delivery of the transfer agreement to the company, unless a later effective date is agreed upon.<\/p>\n\n\n\n<p>If consent from the General Meeting is required, the transfer only becomes effective after this approval.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"zapis-zmien-do-obchodneho-registra\"><strong>Registration of Changes in the Commercial Register<\/strong><\/h2>\n\n\n\n<p>Changes to the partner structure must be registered in the Commercial Register within 30 days of the agreement becoming effective.<\/p>\n\n\n\n<p>The proposal must be accompanied by the business share transfer agreement and the approval of the general meeting of shareholders for the transfer of the business share (if required in the specific case). As the business share transfer agreement has legally changed the articles of association, a copy of the complete articles of association with the changes incorporated should also be attached.  Compliance with the conditions of the transfer which is not apparent from the aforementioned annexes shall be demonstrated by the submission of an affidavit.<\/p>\n\n\n\n<p>If there are other changes in the company in connection with the transfer of the business share (e.g. change of executive, appointment of a new executive, change of registered seat, etc.), further documents will be required, depending on the change in question.<\/p>\n\n\n\n<p>In connection with changes in the company's shareholders, the registration of the change of the beneficiary owner in the commercial register, or in <a href=\"https:\/\/www.justice.gov.sk\/sluzby\/register-partnerov-verejneho-sektora\/\" data-type=\"link\" data-id=\"https:\/\/www.justice.gov.sk\/sluzby\/register-partnerov-verejneho-sektora\/\">register of public sector partners<\/a>may also be required<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/www.lidaybasaryova.sk\/en\/ako-postupujeme-pri-zapise-do-rpvs\/\" data-type=\"link\" data-id=\"https:\/\/www.lidaybasaryova.sk\/ako-postupujeme-pri-zapise-do-rpvs\/\">How to register in the Register of Public Sector Partners<\/a><\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"na-co-si-dat-pozor-pri-prevode-obchodenho-podielu\"><strong>What to Watch Out for When Transferring a Business Share<\/strong><\/h2>\n\n\n\n<p>If you are interested in acquiring a business share of an existing company, we recommend that you carefully study the articles of association, by-laws and\/or other constituent documents of the company, especially in cases where you will not be the sole shareholder after the transfer of the business share. It may be, for example, that the articles of association do not allow for the intended transfer of the business share. In such cases, it is necessary to decide to amend the articles of association.
